This Service is jointly owned and operated by Shanghai NVG Optical Co., Ltd. and its affiliated companies (hereinafter referred to as "we", "us", the "Company", or "NVG"). Before using this Service, please carefully read and fully understand this 2.5NVG Website User Agreement (hereinafter referred to as the "Agreement") and all other relevant policies of the Service.

Upon your initial account registration, the full text of this Agreement will be sent to you via email. Please carefully read and fully understand all terms of this Agreement, especially those highlighted in bold. By replying via email to indicate your consent, providing registration information, or commencing use of the Service, you are deemed to have fully read, understood, and accepted all contents of this Agreement. If you do not agree with this Agreement, the Service may not function properly or achieve the intended effects, and you must immediately cease registration and use of the Service.

 1. Scope of Service

1.1  This Service is intended to provide product display, order submission, and order status inquiry functions, which are limited to: (1) displaying basic product information, types, and availability; (2) receiving your expressions of intent regarding orders.

1.2  This Service does not provide online transaction confirmation, contract execution, or payment settlement services. Any actions you take within this Service (including but not limited to browsing product information or submitting order intentions) shall not directly result in a legally binding product purchase agreement, nor create any legally binding contractual obligations (including but not limited to supply obligations) between you and the Company.

1.3  If you intend to purchase products displayed on this Service, we will communicate with you via email to finalize and confirm all transaction details, including but not limited to product lists, quantities, pricing, estimated delivery schedules, delivery methods, and payment methods. A valid product purchase agreement/order may only be established after both parties have finally confirmed the above information. We will subsequently deliver the goods in accordance with the content previously agreed upon with you.

2.  Account Management

2.1  Eligibility: This Service is intended for adults only. Any person under the age of 18 shall be deemed a child regardless of local laws or customs.

2.2  Information Accuracy: Before using the Service, you must provide true, accurate, lawful, and valid personal information. We reserve the right to verify such information and request supporting documentation. If the information provided does not meet the above requirements, you may not obtain optimal service experience (e.g., inaccurate personal information displayed in the service interface).

2.3  Account Responsibilities: You shall be responsible for all activities conducted under your account and represent and warrant that:

• You shall not maliciously register accounts (including but not limited to bulk or repeated registrations) or submit duplicate or false orders;
• You bear full responsibility for the truthfulness, accuracy, legality, and validity of the registration information, which must not contain any inappropriate or unlawful content, and you shall update such information in a timely manner;
• Without the permission of others, you shall not use another person's identity (including but not limited to impersonating the name, title, or trade name of any individual or entity, or taking any other action likely to cause confusion) or mislead others by impersonation;
• You shall bear legal responsibility for all actions under your account;
• You shall not transfer, gift, assign, lend, lease, sell, or otherwise provide your account to others.

2.4  Account Security: Your account serves as your credential for accessing the Service. You must properly safeguard your account, password, and verification codes and must not disclose them to any third party. You shall safely log out after use. 

Unless otherwise required by law, you shall bear all losses resulting from failure to properly safeguard your account or from providing your credentials to others. If such actions cause losses to NVG, you shall be liable for such losses. If you discover unauthorized use of your account, you must notify us promptly through the contact details in Section 8.

2.5  Account Cancellation: Upon your request and subject to our approval, your account may be irrevocably cancelled. However, we reserve the right to:

• Retain your registration data and past activity records as required by law;
• Pursue liability for any violations committed prior to cancellation and exercise the rights set forth in this Agreement.

3.Standards of Use

3.1  License Grant: You fully understand and agree that, under this Agreement, we grant you a revocable, non-transferable, non-exclusive limited license to use the Service in accordance with this Agreement. If you have any questions while using the Service, you may contact us through the means set forth in Section 8 to obtain necessary assistance.

3.2  Reserved Rights: All rights not expressly granted are reserved by NVG. You must obtain prior written consent before exercising any such ungranted rights.

3.3  General Principles: You shall comply with applicable laws and this Agreement and adhere to the principles of voluntariness, equality, fairness, and good faith. You shall not use the Service to infringe upon the lawful rights and interests of others or to seek improper benefits.

3.4  Prohibited Content: When using this Service, you shall not violate laws, regulations, or relevant standards, nor shall you disseminate the following unlawful or harmful information:

• Opposing the basic principles established by the Constitution of the People's Republic of China;
• Endangering national security, leaking state secrets, subverting state power, or undermining national unity;
• Damaging national honor or interests;
• Distorting, defiling, desecrating, or denying the deeds and spirit of heroes and martyrs, or infringing upon their names, portraits, reputation, or honor by means of insult, defamation, or otherwise;
• Promoting terrorism, extremism, or inciting terrorist or extremist activities;
• Inciting ethnic hatred or discrimination, or undermining ethnic unity;
• Undermining national religious policies, or promoting cults and feudal superstitions;
• Disseminating rumors, or disrupting economic and social order;
• Disseminating obscenity, pornography, gambling, violence, murder, terror, or inciting crime;
• Insulting or defaming others, infringing upon their reputation, privacy, and other lawful rights and interests;
• Other content prohibited by laws or administrative regulations.

3.5 Interfering with or disrupting normal network functions, such as: deliberately spreading malicious programs or viruses; entering public computer networks or others‘ computer systems without authorization and deleting, modifying, or adding stored information; interfering with operations by causing unreasonable load on computer systems or facilities;

• Stealing network data, such as: reverse engineering, decompiling, disassembling, translating, or otherwise attempting to discover the source code, models, algorithms, or underlying components of the Service; using any means (including but not limited to any robots, crawlers, other automated settings, or mirrors) to scrape or copy the Service or any content contained therein;
• Engaging in other activities that endanger the security of the Service, its systems, networks, models, or other components

• Using the Service for any illegal purpose that violates laws, regulations, or regulatory policies, or infringes upon the legitimate rights and interests of third parties;
• Using the Service for dangerous purposes that may cause serious adverse effects on human health, psychology, society, or the economy, or that violate scientific and technological ethics;
• Deleting any copyright information related to the Service or this Agreement, or modifying, removing, or circumventing technical protection measures put in place by the Service to protect intellectual property rights;
• Engaging in acts that infringe upon intellectual property rights, trade secrets, or otherwise violate business ethics, or using advantages in algorithms, data, or platforms to engage in monopolistic practices or unfair competition;
• Copying, transferring, renting, lending, selling, or providing sublicenses or sublicensing of all or part of the Service without NVG’s authorization;
• Other uses prohibited or restricted by laws or administrative regulations, or that may harm NVG‘s interests.

4.  Intellectual Property Rights

4.1  Ownership: All intellectual property rights related to the Service and its content, algorithms, data, technology, programs, code, user interfaces, graphics, layout designs, electronic documents, images, and their selection, combination, and arrangement (including but not limited to copyrights, trademark rights, patent rights, trade secrets, and other intellectual property rights), whether registered or unregistered, belong to NVG or its licensors, and are protected by the laws of the People‘s Republic of China, foreign laws, and international conventions, except where the relevant rights holders are entitled to such rights under law.

4.2  No License to Marks: This Agreement shall not be deemed to grant you any right, license, or interest in using our trademarks, service marks, trade names, logos (hereinafter “Our Marks”), and/or any third-party trademarks, service marks, trade names, or logos appearing in the Service (hereinafter “Third-Party Marks”). You agree not to assert any claim regarding the rights, licenses, or other interests in Our Marks or Third-Party Marks.

4.3  Restrictions on Use of Marks: Without NVG’s prior permission, you shall not, by yourself or through any person on your behalf, by any means or method:

• Use any trademarks (including but not limited to “NVG” (Enweiji) and “2.5 New Vision Generation” (2.5 New Vision Generation)), service marks, company logos, trade names, domain names, website names, layout designs, URLs, or other distinctive brand features related to the Service;
• Display, use, dilute, apply for trademark registration, or register domain names based on the foregoing elements, alone or in combination;
• Explicitly or implicitly indicate to others that you have the right to display, use, or otherwise handle the foregoing elements.

5.  Liability for Breach of Contract

5.1  In the event of a violation of this Agreement or any other agreement related to the Service, we have the right to independently determine and unilaterally take measures such as restricting login or account functions without incurring any liability for breach of contract. We have the right to publish the outcome of the handling and decide whether to restore use based on the actual circumstances.

5.2  For serious violations of this Agreement or any other agreement related to the Service, we reserve the right to close the account and cancel any malicious orders (if any), and terminate the relationship between you and us under this Agreement, without incurring any liability for breach of contract. If this Agreement is terminated as a result, you must immediately stop using the Service.

5.3  For acts that may be suspected of violating laws or even constituting illegal crimes, we will preserve records related to such acts, report to the relevant competent authorities in accordance with the law, and cooperate with investigations. If any legal liability arises or any third party asserts any claim, demand, or loss as a result, you shall bear such liability yourself. You shall indemnify NVG for any losses caused to NVG (including but not limited to litigation costs, arbitration fees, attorney fees, notarization fees, announcement fees, appraisal fees, travel expenses, investigation and evidence collection fees, compensation, liquidated damages, settlement costs, and administrative fines), and shall ensure NVG is held harmless from any further losses or expenses.

6.  Disclaimers

6.1  Although we are committed to providing safe, stable, continuous, and timely service and make every effort to ensure your normal use of the Service, we do not make any express or implied warranties regarding the stability, continuity, or defect-free nature of the Service (including but not limited to that the Service will not be interrupted or error-free, free from interference, free from vulnerabilities, continuously stable, or free from any faults).

6.2  Force Majeure: The Service may encounter force majeure events during operation, i.e., unforeseeable and uncontrollable accidental risks (including but not limited to natural disasters, computer viruses, hacker attacks, network connection or power failures, technical adjustments by network operators, temporary government controls, government actions, court orders, war, strikes). In the event of force majeure, we will endeavor to restore the Service in a timely manner. However, to the extent permitted by laws and regulations, NVG disclaims liability for losses or damages caused by force majeure (including but not limited to inability to access the Service, service interruption, or delay, stagnation, or error of information or data).

6.3  Testing Period: We may update the Service from time to time. Please be aware that during testing periods, the Service may be unstable. We do not guarantee the stability of the Service during testing periods, unless otherwise provided by law.

6.4  Additional Disclaimer: Unless otherwise stated in this Agreement or the relevant interface of the Service, otherwise agreed between you and us, or expressly provided by law, we shall not be liable for any damages arising from the use of the Service.

7.  Governing Law and Jurisdiction

7.1  Governing Law: This Agreement shall be governed by the laws of the People‘s Republic of China (excluding Hong Kong, Macau, and Taiwan).

7.2  Dispute Resolution: Disputes arising from this Agreement shall first be resolved through friendly negotiation. If unsuccessful, either party may bring a claim before a competent court in Changning District, Shanghai.

8.  Miscellaneous

8.1  Severability: If any provision of this Agreement is invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding on both parties.

8.2  Amendments: We may update this Agreement from time to time, and the revised content shall form an integral part of this Agreement. The updated Agreement will be posted through appropriate means (e.g., on the Service‘s page). Once posted, it will replace the original Agreement. You must carefully read and fully understand the updated Agreement. If you have any questions, you may contact us through the means set forth in this Section. If you do not accept the updated Agreement, please stop using the Service immediately. If you continue to use the Service after the update, you will be deemed to have understood and accepted the updated Agreement.
